BALEPORT TERMS OF SERVICE

PLEASE READ THESE TERMS OF SERVICE CAREFULLY.

THIS IS A BINDING CONTRACT BETWEEN YOU (“YOU,” “USER,” “SHIPPER,” “HAULER,” OR “CUSTOMER”) AND HINTFARMS, LLC, A TEXAS LIMITED LIABILITY COMPANY (“BALEPORT,” “WE,” “US,” OR “OUR”).

BY CREATING AN ACCOUNT, ACCESSING, OR USING BALEPORT, YOU AGREE TO THESE TERMS, INCLUDING:

• Mandatory binding arbitration

• Class action waiver

• Continuous GPS tracking consent

• Non-refundable fees

• Indefinite data retention

• Strict limitation of liability

• A maximum liability cap of $100

IF YOU DO NOT AGREE, YOU MUST NOT USE BALEPORT.

Baleport provides a technology platform that connects shippers and haulers for transportation of goods. Baleport is not a carrier, freight broker, transportation provider, common carrier, or logistics company. Baleport does not transport items, does not guarantee delivery, and does not assume responsibility for the acts, omissions, or conduct of users.

2. Eligibility and User Requirements

To use Baleport, you represent and warrant that:

1. You are at least 18 years old.

2. You are located in and operating within the United States.

3. You have the legal capacity to enter into this Agreement.

4. If you are a hauler, you comply with all applicable FMCSA, DOT, and state transportation laws, including licensing, insurance, vehicle safety, and cargo requirements.

5. You will only use Baleport for lawful purposes.

3. Account Creation and Responsibilities

You agree to:

• Provide accurate, complete, up-to-date information.

• Maintain the confidentiality of your login credentials.

• Be responsible for all activities on your account.

• Not share your account with anyone.

• Not create multiple accounts without permission.

Baleport may refuse registration, suspend accounts, or terminate access at its sole discretion, with or without notice.

4. Relationship Between Users and Baleport

Baleport is solely a technology platform. Nothing in this Agreement creates:

• An employment relationship

• A joint venture

• A partnership

• An agency relationship

• A brokerage or logistics arrangement

Haulers are independent contractors. Shippers contract directly with haulers. Baleport is not a party to shipment agreements between users.

5. User Conduct

You agree NOT to:

• Commit fraud, misrepresentation, or identity falsification

• Post fake loads

• Bid without the intent to complete transport

• Circumvent Baleport to avoid fees

• Transport prohibited, illegal, or dangerous items

• Violate any FMCSA or DOT regulation

• Upload viruses, malware, or harmful code

• Harass, threaten, or abuse other users

• Use Baleport to conduct unlawful activity

• Interfere with platform operations

• Duplicate, scrape, reverse-engineer, or steal Baleport software

Violation may result in immediate termination, reporting to authorities, or legal action.

6. GPS Tracking and Location Data

By using Baleport, you explicitly consent to:

• Continuous GPS tracking

• Background GPS tracking

• Event-based tracking (pickup, drop-off, route progress)

• Use of location data for fraud detection, safety, routing, proof of delivery, and dispute resolution

• Indefinite storage of your geolocation data

If you do not consent, you must stop using Baleport.

7. User-Generated Content (UGC)

UGC includes:

• Load descriptions

• Images and videos

• Messages

• Ratings and reviews

• Shipment event notes

• Profile information

You grant Baleport a worldwide, perpetual, irrevocable, royalty-free license to:

• Host, store, display, copy, reproduce, modify, analyze, process, and use UGC

• Use UGC for fraud prevention, dispute resolution, safety investigations, support, and platform operations

• Anonymize and use UGC for analytics, machine learning, and product improvement

Baleport may remove or modify any UGC at its discretion.

8. Ratings & Reviews

• Ratings are permanent, unless Baleport chooses to alter or remove them.

• You may not manipulate ratings or retaliate against another user.

• Baleport may audit, modify, or hide ratings at its discretion.

9. Fees, Payments & Escrow

9.1 Upfront Shipper Charges

Shippers are charged upfront before a hauler is assigned.

9.2 Escrow

Payments are held securely in a Stripe-managed escrow until:

• Delivery is marked complete, or

• The escrow release conditions are met

9.3 Non-Refundable Fees

The following fees are non-refundable under all circumstances:

• Platform fees

• Escrow fees

• Cancellation fees

• Service charges

9.4 Payouts

Haulers agree:

• To receive payouts only through Stripe Connect

• To maintain accurate banking information

• That payout timing is controlled by Stripe, not Baleport

9.5 Baleport Fees

Baleport charges:

• 10% escrow fee

• Baleport reserves the right to modify fees at any time, with or without notice

10. Shipment Terms (Between Shipper & Hauler Only)

10.1 Baleport Not a Party

The shipment contract is solely between shipper and hauler.

10.2 User Duties

Shippers must:

• Provide accurate load descriptions

• Ensure lawful cargo

• Provide correct pickup/drop-off locations

• Not misrepresent load size, weight, or conditions

Haulers must:

• Pick up and deliver cargo as agreed

• Maintain legal compliance

• Have adequate insurance

10.3 Disputes

Any dispute between shipper and hauler must be resolved directly between them. Baleport may assist at its discretion but is not obligated to intervene.

11. Safety, Verification & Compliance

Baleport may:

• Conduct identity verification

• Request additional documents

• Require DOT/MC verification

• Suspend users for safety concerns

• Use GPS and audit logs to investigate incidents

You agree to fully comply with:

• FMCSA regulations

• State trucking laws

• DOT requirements

• Cargo and vehicle safety laws

• Criminal and civil transportation laws

12. Data Retention & Account Deletion

You acknowledge and agree:

• Baleport does not delete accounts

• Baleport does not delete personal data

• Baleport retains all information indefinitely

• You cannot request removal of data or deletion of your account

• Your continued use signifies acceptance of this term

If you do not agree, you must stop using the platform.

13. Intellectual Property

Baleport owns:

• The platform

• Branding, trademarks, logos

• Software, APIs, databases

• Text, graphics, UI, and all intellectual property

You may not:

• Copy

• Modify

• Reverse engineer

• Create derivative works

• Redistribute

• Sell access

• Misuse or exploit Baleport intellectual property

14. Disclaimer of Warranties

BALEPORT IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, INCLUDING:

• Merchantability

• Fitness for a particular purpose

• Non-infringement

• Continuous availability

• Accuracy of information

• Safety or suitability of loads or haulers

• Platform error-free performance

YOU USE THE PLATFORM AT YOUR OWN RISK.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

1. BALEPORT IS NOT LIABLE FOR ANY DAMAGES WHATSOEVER, including:
   
   

   • Lost shipments

   • Missing or damaged cargo

   • Lost profits

   • Vehicle accidents

   • Personal injury

   • Database outages

   • Delays

   • User misconduct

   • Fraud

   • Service interruptions

3. BALEPORT’S TOTAL LIABILITY SHALL NOT EXCEED $100, regardless of claim type or cause of action.

4. YOU AGREE TO INDEMNIFY AND HOLD BALEPORT HARMLESS FROM ANY CLAIMS ARISING OUT OF YOUR USE OF THE PLATFORM.

16. Mandatory Binding Arbitration

16.1 Arbitration Requirement

All disputes must be resolved through binding arbitration under the Federal Arbitration Act.

16.2 No Class Actions

YOU WAIVE:

• Class actions

• Class arbitrations

• Jury trials

• Representative actions

16.3 Location & Rules

Arbitration will occur:

• In Texas

• Under AAA Commercial Arbitration Rules

16.4 Opt-Out

There is no opt-out option.

17. Governing Law

This Agreement is governed exclusively by the laws of the State of Texas, without regard to conflict-of-laws principles.

18. Termination

Baleport may, at its sole discretion:

• Suspend your account

• Terminate your access

• Remove your content

• Block your device

• Deny future service

With or without notice.

You may stop using Baleport at any time.

However, Baleport will not delete your account or data.

19. Changes to Terms

Baleport may update these Terms at any time.

Continued use of the platform constitutes acceptance of updated Terms.
